Terms of Service
These Terms of Service ("Terms") govern your access to and use of the websites located at viabridge.io and any related subdomains and marketing properties (collectively, the "Site"), operated by ViaBridge, Inc. ("ViaBridge," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
The Site provides general information about ViaBridge and its products. Access to the ViaBridge platform and application is governed by the separate ViaBridge End User Agreement, and your data is handled in accordance with the ViaBridge Privacy Policy.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Site. The Site is intended for institutional and professional audiences and is not directed at retail consumers or persons in jurisdictions where its content would be unlawful.
2. No advice; no offer
Content on the Site is for general informational purposes only and is not investment, financial, legal, tax, or accounting advice, and is not an offer or solicitation to buy or sell any security, digital asset, or financial product. Nothing on the Site creates an advisory or fiduciary relationship. Digital assets involve substantial risk, including total loss of value.
3. Forward-looking statements
The Site may describe products, features, or capabilities that are planned or under development. Such descriptions are not commitments, may change, and should not be relied upon. Current product availability is defined in the applicable platform documentation and End User Agreement.
4. Intellectual property
The Site and all of its content — text, graphics, logos, the "ViaBridge" name and marks, and software — are owned by or licensed to ViaBridge and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your internal, non-commercial informational use. You may not copy, scrape, frame, reverse-engineer, or create derivative works without our prior written consent.
5. Acceptable use
You agree not to: (a) use the Site unlawfully or in violation of these Terms; (b) interfere with or disrupt the Site or its security; (c) attempt unauthorized access to any system or data; (d) use bots, scrapers, or automated means except for public search indexing; or (e) misrepresent your identity or affiliation.
6. Third-party links
The Site may link to third-party websites or resources (e.g., a scheduling tool, custody or infrastructure partners). We are not responsible for third-party content, products, or practices, and links do not imply endorsement.
7. Disclaimers
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIABRIDGE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR AGGREGATE LIABILITY RELATING TO THE SITE WILL NOT EXCEED USD $100.
9. Indemnification
You agree to indemnify and hold ViaBridge harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site or violation of these Terms.
10. Changes
We may modify these Terms or the Site at any time. Material changes will be indicated by updating the "Last updated" date. Your continued use after changes constitutes acceptance.
11. Governing law; disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of those courts.
12. Miscellaneous
These Terms constitute the entire agreement between you and ViaBridge regarding use of the Site and supersede all prior or contemporaneous understandings regarding the Site. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction. Section headings are for convenience only and have no legal effect.
